Doctor Partner & Vendor Terms

The Partner is an independent contractor and not an employee, agent, franchisee, joint venture partner, or representative of KinKeeper. Nothing in these Terms creates an employment, partnership, agency, or fiduciary relationship.

The Partner represents and warrants that all licenses, registrations, qualifications, certifications, insurance, and statutory approvals required under applicable law are valid and shall remain valid during the association. KinKeeper may verify credentials at any time.

The Partner is solely responsible for the services provided, including diagnosis, treatment, prescriptions, professional advice, customer interactions, pricing (where applicable), documentation, and compliance with applicable laws and professional standards. KinKeeper does not supervise or control professional judgment.

The Partner shall comply with all applicable Indian laws, professional regulations, medical ethics, telemedicine guidelines, taxation requirements, consumer protection laws, privacy obligations, and other statutory requirements.

KinKeeper does not guarantee any minimum number of enquiries, appointments, patients, orders, revenue, or business opportunities.

Commercial terms, commissions, settlement cycles, taxes, deductions, refunds, and payment obligations shall be governed by the mutually agreed commercial arrangement. KinKeeper may withhold payments where fraud, disputes, or legal violations are suspected.

The Partner shall maintain strict confidentiality of all user information, business information, pricing, technology, algorithms, operating processes, commercial terms, and other confidential information. This obligation shall survive termination.

The Partner shall access, use, and store personal information only for legitimate service delivery purposes and shall implement reasonable administrative, technical, and organizational safeguards to protect such information.

All trademarks, logos, trade names, software, website content, mobile application, databases, designs, algorithms, documentation, marketing material, and intellectual property belonging to KinKeeper remain the exclusive property of LIFE EASE SERVICES LLP. No ownership rights are transferred.

During the association and for twelve (12) months after termination, the Partner shall not knowingly solicit or induce KinKeeper employees, consultants, business partners, or customers to terminate or reduce their relationship with KinKeeper, nor bypass the platform for transactions originating through KinKeeper without prior written approval.

The Partner shall not make false, misleading, exaggerated, or unauthorized claims regarding KinKeeper, its services, certifications, or affiliations.

KinKeeper may suspend, restrict, or terminate the Partner's access immediately for fraud, misconduct, legal non-compliance, expired licenses, unethical conduct, reputational risk, security concerns, or breach of these Terms.

The Partner shall defend, indemnify, and hold harmless LIFE EASE SERVICES LLP, KinKeeper, its partners, directors, employees, officers, and affiliates against any claims, losses, penalties, damages, liabilities, costs, or legal expenses arising from the Partner's acts, omissions, negligence, professional misconduct, regulatory violations, or breach of these Terms.

To the maximum extent permitted by law, KinKeeper shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, goodwill, business opportunities, or data. KinKeeper's aggregate liability, if any, shall not exceed the amount actually paid by KinKeeper to the Partner during the three (3) months immediately preceding the event giving rise to the claim.

KinKeeper shall not be liable for any delay or failure resulting from events beyond its reasonable control, including natural disasters, epidemics, pandemics, war, terrorism, civil unrest, government actions, internet failures, cyber-attacks, power outages, labour disputes, or failures of third-party infrastructure.

KinKeeper may modify these Terms from time to time. Continued participation after such modification constitutes acceptance of the revised Terms.

These Terms shall be governed by the laws of India. Any dispute shall first be attempted to be resolved amicably through good-faith negotiations. Failing such resolution, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Gurugram, Haryana, and the proceedings shall be conducted in English. Courts at Gurugram, Haryana shall have exclusive jurisdiction for matters not subject to arbitration.

By registering, onboarding, listing services, accessing, or continuing to use the KinKeeper platform, the Partner confirms that they have read, understood, and agreed to be legally bound by these Terms.
